$MVCO to Establish OTC Squawk Subsidiary, Position Platform for Spin-Out

Metavesco today approved plans to form a new subsidiary to house the Company’s OTC Squawk platform and related intellectual property, including the platform’s simulated stock prediction feature. Metavesco intends to obtain an independent valuation of the assets and contribute them to the newly formed subsidiary in exchange for equity in the subsidiary.

The creation of a separate subsidiary is intended to give OTC Squawk a distinct corporate identity and operational focus, support its continued development and growth, and preserve strategic flexibility as it expands. Metavesco also intends to evaluate a future spin-out of the subsidiary, under which the subsidiary would pursue becoming a separate publicly traded company through its own quotation or listing. Any potential spin-out would be subject to approval by the Company’s board of directors, market conditions, financing considerations, and applicable legal, regulatory, and other requirements.

No transaction structure or timetable has been established, and there can be no assurance that a spin-out will be approved or completed. The Company will provide additional information through its established disclosure channels as material developments occur.
