OTC Squawk Ambassador Program - Terms
1. Overview
The OTC Squawk Ambassador Program lets approved members ("Ambassadors") earn compensation for referring new members who genuinely join and participate on the platform. Ambassadors earn by promoting the OTC Squawk platform, not the securities of Metavesco, Inc. (MVCO) or any other company. Participation is voluntary and governed by these Ambassador Terms in addition to the OTC Squawk Terms of Service and Privacy Policy.
2. Eligibility and approval
Ambassadors must apply and be approved. OTC Squawk may approve, decline, pause, or remove any applicant or Ambassador at any time, for any reason or no reason, in its sole discretion. Ambassadors must be 18 or older, based in the United States (for the initial program), and comply with these Terms at all times.
3. How you earn
You earn only when a referred person becomes a Cleared referral. A referral Clears when the person you referred:
- (a) creates an account through your referral link or code;
- (b) activates by following at least 3 tickers and posting at least 2 contributions across at least 2 different days within 14 days of signing up (a contribution is an authored post or reply; likes, reposts, and logins do not count); and
- (c) remains an account in good standing 14 days after signing up.
Compensation is a graduated per-referral amount based on your cumulative number of Cleared referrals, at the rates published by OTC Squawk (initial placeholder: $5 for Cleared referrals 1-9, $8 for 10-24, $12 for 25-49, $20 for 50+). Rates, tiers, and definitions may change as described in Section 9.
Earnings are one-time per Cleared referral. No compensation is owed for signups that do not Clear, for inactive or fraudulent accounts, or for self-referrals.
4. Payments and claims
Payments are made through Stripe. You must complete Stripe onboarding, including identity and payout details, before any payment can be issued.
Earnings accrue subject to a holdback and review period and are not payable until they Clear review. OTC Squawk may withhold, delay, or decline any payment pending investigation (see Sections 8 and 9).
Payments are made by claim, not on an automatic schedule. Once your available balance reaches the minimum claim amount of $50, you may request a payout ("claim") from your Ambassador dashboard. Balances below the minimum roll over and are not forfeited. OTC Squawk reviews each claim before payment; approved claims are paid within 10 business days of approval. OTC Squawk may change the minimum claim amount and payment timing from time to time.
Unclaimed balances. Accrued earnings remain available to claim for as long as you remain an active participant in good standing. If your participation in the Program ends for any reason with an unpaid balance, or your balance remains unclaimed for an extended period, OTC Squawk may, at its discretion: attempt to notify you using the contact information on file, require you to complete or update payout onboarding before release, apply the balance as required by applicable unclaimed-property (escheatment) laws, or, where permitted by law, treat balances below the minimum claim amount as forfeited following termination of your participation. OTC Squawk's handling of any unclaimed balance in accordance with applicable law fully discharges its obligations with respect to that balance.
5. Taxes and tax onboarding
You are responsible for all taxes on amounts you earn.
U.S. tax reporting rules require a completed Form W-9 before you can be paid $600 or more in a calendar year. Completing the W-9 (collected through Stripe) is required before your cumulative earnings in a calendar year reach $600. If your cumulative earnings reach $600 before your W-9 and tax onboarding are complete, all amounts at and above that level are held and are not payable until tax onboarding is completed. Once tax onboarding is complete, held amounts are released and you may continue to earn and claim without that limit.
Tax information (including your SSN/TIN) is collected and stored by Stripe, our payments processor, which also issues any required Form 1099. OTC Squawk does not store your SSN/TIN directly.
6. Disclosure and enforcement
On the platform, your account carries the Ambassador badge, which publicly identifies you as a paid contributor.
You must not make false, misleading, or guaranteed-outcome claims.
Compensation is for referrals only, not for promoting any security. OTC Squawk is operated by Metavesco, Inc. (MVCO), a public company. You acknowledge and agree that nothing in this program compensates you for promoting, recommending, or generating interest in MVCO stock or any other security. Your compensation is solely for referring new members to the platform under Section 3. As a member, you remain free to discuss securities on the platform, including MVCO, the same as any other member and subject to the same platform rules, but you must not: (a) state or imply that you are paid by OTC Squawk or MVCO to promote MVCO stock or any security; (b) tie your Ambassador promotion of the platform to claims about MVCO stock or any security (for example, promoting your referral link alongside price predictions or buy recommendations); or (c) present your Ambassador compensation as related in any way to the price or performance of any security. Because MVCO operates this platform, exercise particular care that any discussion of MVCO is clearly your own view as a member, not paid promotion.
Enforcement. If OTC Squawk determines that you have made a prohibited claim or violated the paragraph above:
- First violation (minor or inadvertent): written warning and required correction or removal of the content.
- Repeat violation, or any violation OTC Squawk determines is willful or involves holding out Ambassador compensation as payment for promoting a security: immediate removal from the Ambassador Program, forfeiture of unpaid earnings, and possible account suspension or ban.
OTC Squawk may skip the warning step for any violation it determines is serious.
7. Prohibited conduct and anti-fraud
Fake, bot, duplicate, or incentivized-but-inactive accounts; self-referrals; manipulation of the referral, activation, or clearing rules; and any deceptive or unlawful promotion are prohibited. Violations may result in forfeiture of unpaid earnings, removal from the program, and account suspension or ban.
8. Reserved rights, investigation, and clawback
OTC Squawk reserves the right, at its sole discretion and at any time, to: review, audit, investigate, dispute, hold, withhold, delay, reduce, reverse, or void any referral, activation, clearing, earning, or unpaid payment; to determine whether any referral or account is genuine, active, or fraudulent; and to make any such determination final and binding. You acknowledge that earnings are not guaranteed and are not vested until actually paid.
9. Program changes and termination
OTC Squawk may change, suspend, or terminate the Ambassador Program, these Terms, the qualification rules, the compensation rates and tiers, the payment methods, and any other aspect of the program at any time, for any reason. Changes apply prospectively from the date they are published; changes will not reduce compensation for referrals that have already Cleared as of the change date. Your continued participation after any change constitutes acceptance of it.
10. No guarantee; independent relationship
Nothing here guarantees any minimum earnings, any number of referrals, or continued participation. Ambassadors are independent participants, not employees, agents, partners, or contractors of OTC Squawk or MVCO, and have no authority to act on their behalf.
11. Acceptance
To join, you must review these Terms in full (scroll to the end) and agree. Your acceptance is recorded with a timestamp. You reaffirm these Terms, as then in effect, each time you participate.
